A leading global healthcare company headquartered in the US carved out its OTC products and 2 manufacturing sites located in France & Italy, and 1 R&D site located in Italy. These products and sites were then integrated into a France headquartered European healthcare company.
Carved out entity: 500 FTE, €500mn, sales offices in 10 European countries, 2 manufacturing sites, 1 R&D site Acquiring entity: 1,500 FTE, around €1bn revenue
IT carveout TSA exit was planned for 12 months, around €1mn per month TSA cost
IT carveout one-off budget was around €20mn (Apps, Infra, IT service management, cyber security)
IT workstream was sub-divided into Apps, Infra, Data and IT PMO. Total consultant team size was 10+ IT Infra set up needed
Group Infra to be set up - Group standards across HQ, local site hosting, consistent Network architecture, reducing vendor landscape, homogenous Azure admin set up, setting up group standard workplace and M365 policies across locations etc
Infra team consisted of CTO, network lead, infrastructure lead, Azure & M365 admin, and local IT country managers IT carveout included planning all app migrations including legacy ERP and factory operations related MES and other factory apps, with interface to ERP
Lift & Shift was the principle, requiring greater co-ordination with seller's IT and multiple vendor's across buyer's site locations
New data centre agreement was set up with a French datacentre, to host critical ERP and site specific apps, which were migrated from seller's data centre in Frankfurt
Local site hosting was set up using Azure HCI stack and VM combination - to be supported by data centre team post migration
Project charters were built for all Apps and Infra migration
File Share of around 20 TB size were migrated during the process
Factory migrations ran for across 1 month for each factory site
Infra optimisation included global service desk set up & ITSM implementation
Contracted initially for 10 months, was extended to 16 months

Role: IT Integration Lead supporting IT Carve-out from Selling Parent Company;
IT Integration into Acquiring Entity Scale of IT Carve-out & Integration: CAPEX spend of around £10mn one-off; OPEX spend of around £10mn yearly
Activities Performed:
IT Due Diligence on the acquired entity covering Applications (150+ Apps), Hybrid Network having site locations around 10 countries with multiple sites per country, End User Devices (Laptops/Mobiles, Peripherals), IT Service Management, Cyber Security, IT & Cloud Infrastructure Assets
Leading IT Workstream through Pre-Signing then Sign to Close Period lasting around 4 months

IT Carve-out supporting Selling Parent across sub-workstreams and working with cross-functional teams
