**Key principle: Day 1 is the first close, not a milestone**

A joint venture that goes live on Day 1 has to report as one company from its first day. That sounds simple, but the JV is usually built from carve-outs of two parent businesses that were never reported together. They use different accounting bases, systems and close calendars. Consolidated Day 1 financial reporting is therefore the first real test of whether the integration will work.

The principle CIDEK applies is that Day 1 reporting should be treated as the first of many repeatable consolidated closes, not as a one-off pack. The opening balance sheet, the accounting policies, the chart of accounts and the close calendar have to be designed together, and then rehearsed before anyone relies on them.

**Why consolidated Day 1 reporting is harder than it looks**

The case we have in mind is a 50:50 joint venture that combines the international enterprise businesses of two large parent groups. Org 1 reports under UK-adopted IFRS and Org 2 under US GAAP. Completion is assumed in 2027, subject to regulatory clearances and employee consultation, so the Day 1 date is still moving. Five features make the reporting task harder than in a standard post-merger integration:

- **Two reporting bases:** the JV needs one set of accounting policies from Day 1. The US GAAP carve-out information has to be converted, not simply added to the IFRS information.
- **Two carve-outs:** each perimeter needs historical financials, a documented cost allocation basis and reconciliation to legal entity ledgers. Shared costs are often the largest source of disagreement.
- **A new legal entity:** the JV starts with no trading history. It needs its own opening balance sheet, and its own tax, treasury and bank set-up.
- **Equal ownership:** neither parent controls the JV by default. The accounting for each parent's stake, and for the JV's own statements, has to be agreed with auditors before the numbers are final.
- **Pre-close rules:** until completion the parents must operate independently. Commercially sensitive data can only move through a clean team protocol agreed with counsel, which slows down data collection.

**Six phases from mobilisation to hypercare**

CIDEK plans the work in six phases, starting nine months before Day 1 and running three months beyond it. The phases overlap on purpose. Policy decisions gate the position papers, the position papers gate the opening balance sheet, and the balance sheet gates the build.

- **Mobilise (M-9 to M-8):** an integrated Day 1 plan, a Steering Committee with a clear RACI, and one RAID log.
- **Design (M-8 to M-6):** a framework decision paper, the perimeter map and the accounting principles that everything else depends on.
- **Carve-out and opening balance sheet (M-7 to M-2):** carve-out financials, position papers on JV formation, business combination and the equity method, and successive drafts of the opening balance sheet.
- **Build (M-6 to M-2):** consolidation design, chart of accounts mapping, systems readiness, intercompany and tax set-up, and the controls matrix.
- **Rehearse (M-4 to M-1):** two dress rehearsals against carve-out ledgers, a sign-off pack and a formal go / no-go decision.
- **Day 1 and hypercare (D1 to M+3):** cut-over, the first consolidated close and stakeholder reporting, followed by a lessons-learned review.

In total, the PMO tracks 24 activities. Each has a named lead, a key output and a timing. The plan is re-baselined once the regulatory timetable is confirmed.

**One PMO, five workstreams**

Day 1 reporting only works if decisions are made once and at the right level. CIDEK runs a Finance Function workstream PMO that reports to a joint Steering Committee made up of both parent CFOs and the JV CFO-designate. Five workstreams sit beneath it: accounting and policies; perimeter and opening balance sheet; consolidation and systems; tax, treasury and entity set-up; and controls and readiness.

![Picture3](https://www.cidekconsulting.com/hs-fs/hubfs/Picture3.png?width=1200&height=556&name=Picture3.png)

The PMO's job is not to second-guess accounting judgements. Those remain with management and the external auditors. The PMO's job is to make sure those judgements are made on time, in the right order, and backed by evidence that will stand up at the first close.

**Five decisions that drive everything**

Most Day 1 slippage traces back to a small number of decisions that were deferred. CIDEK asks the Steering Committee to take these five early:

- **The reporting framework (by M-8):** whether the JV reports under IFRS as adopted in the UK, and in which currency. Everything else follows from this.
- **The perimeter (frozen by M-6):** which legal entities and business units are in scope, with formal change control after that date.
- **The opening balance sheet approach:** how fair values are set, how the equalisation payment between the parents is treated, and how the auditors will test the opening position.
- **Intercompany and commercial agreements:** the terms between the JV and each parent, because they drive eliminations and related party disclosures.
- **Day 1 must-haves:** a short list of what must be right on Day 1, with everything else moved to a Day 100 backlog.

**CIDEK's Recommended Approach & Viewpoint:**

Having supported PMI, carve-out and IT separation programmes across several sectors, CIDEK recommends four principles for consolidated Day 1 reporting:

- **Lock the perimeter early:** a late change in scope is the most expensive change in a carve-out. Freeze the perimeter before the opening balance sheet is built, not after.
- **Decide accounting before systems:** consolidation tools and chart of accounts mappings should follow the position papers, not lead them. Otherwise the systems encode decisions nobody has made.
- **Rehearse twice, not once:** the first dress rehearsal finds the data problems. The second proves the process and the sign-off. Both are needed before go / no-go.

**Plan for the first close, not just Day 1:** the Day 1 pack is one output of a repeatable monthly close. Design the close calendar, controls and reporting templates with that in mind from the start.

**Challenges facing Day 1 consolidated reporting**

- - The Day 1 date is set by regulatory clearances, which are outside the programme's control. The plan has to flex without losing its critical path.
    - Carve-out financials are often prepared for internal management purposes. They may not meet the standard needed for opening balances without rework.
    - Finance teams in both parents must keep running the business while supporting the programme. Named subject matter experts with protected time make the difference between a plan and a wish list.
    - SEC reporting obligations for a listed parent add requirements on financial information about equity-method investees. These need to be scoped early, not in the final month.

**What CIDEK needs from both parents**

To start, CIDEK needs a named CFO-level sponsor and workstream leads from each parent, with decision authority. It also needs access to historical carve-out data and the cost allocation basis, current accounting policy libraries and any GAAP differences log, the entity structure and draft commercial agreements, and a clean team protocol agreed with counsel.

Within the first 30 days, the most useful outcomes are sponsor confirmation, a signed statement of work, an approved first data request and dates for a joint kick-off workshop.

CIDEK is **available to support** and keen to discuss Day 1 consolidated reporting and PMO support for joint ventures, carve-outs and PE-backed businesses. The earlier the Finance PMO is engaged, the more of the Day 1 date is still within the team's control.

**Note**:  Some material for this point of view is taken from widely available public sources, including the public announcement large scale Joint Ventures. Accounting references (IFRS 3, IFRS 10, IFRS 11, IAS 24, IAS 28, ASC 805, ASC 810 and ASC 323) are indicative and must be confirmed by each company's technical accounting team and auditors. The key thought process comes from delivering complex carve-outs, integrations and PMO programmes.
